Set the premise first: Business Manager means actual management, not nominal shareholding; give the business plan concreteness and feasibility, and separate student-founder from overseas-investor starting points.
The statutory activity of the 'Business Manager' residence status is 'actually conducting the management of a business in Japan, or actually conducting the administration of that business' — it turns on the 'activity content', not on 'whether a company was ever registered', nor on shareholding or a nominal representative title. The post-2025-revision official notes spell the screening focus out: outsource most of the operations, lack real activity as a manager, or hold only the formal representative title, and it is judged outside what 'Business Manager' activity should be. In one line: the company existing ≠ you performing Business Manager activity.
